Terms of Service

Welcome to WP SEO Agent. These Terms of Service (“Terms”) govern your access to and use of the WP SEO Agent platform, plugin, and related services. Please read these Terms carefully before using our Service.

1. Acceptance of Terms

By creating an account, installing the WP SEO Agent plugin, or accessing any part of our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Definitions

In these Terms, the following definitions apply:

“We,” “Us,” “Our,” or “WP SEO Agent” refers to Now Technology Systems (ABN 95 168 282 914), the trustee for Greenfield Chan Discretionary Trust, operating as WP SEO Agent.
“Service” refers to the WP SEO Agent platform, including the WordPress plugin, external API (api.wpseoagent.com.au), web dashboard, AI-powered recommendations, content generation tools, and all related features.
“You,” “Your,” or “Client” refers to the individual or entity that registers for and uses the Service.
“Plugin” refers to the WP SEO Agent WordPress plugin installed on your website.
“Subscription” refers to your paid or free plan that grants access to the Service.
“AI Content” refers to any text, recommendations, blog posts, social media posts, schema markup, or other content generated by our AI systems.
“Website” refers to the single WordPress website connected to your Subscription.

3. Account Registration and Eligibility

To use the Service, you must:

Be at least 18 years of age or the age of majority in your jurisdiction.
Provide accurate, complete, and current registration information.
Maintain the security of your account credentials.
Have a self-hosted WordPress website (WordPress.org) with administrator access.
Accept responsibility for all activity that occurs under your account.

You may not create multiple accounts to circumvent plan limitations. Each subscription is tied to one account and one website.

4. Subscription Plans and Pricing

WP SEO Agent offers the following subscription plans:

Free Plan: $0 AUD per month
Starter Plan: $19 AUD per month (or $16 AUD per month billed annually)
Pro Plan: $49 AUD per month (or $41 AUD per month billed annually)
Agency Plan: $129 AUD per month (or $108 AUD per month billed annually)

Annual plans are billed as a single upfront payment and represent a saving of approximately 17% compared to monthly billing.

Each subscription covers one (1) WordPress website. If you wish to use WP SEO Agent on multiple websites, a separate subscription is required for each site.

Feature limits for each plan (including keyword projects, content posts, chat messages, and social posts) are as described on our pricing page. We reserve the right to modify pricing or feature limits with 30 days notice. Existing subscribers will be honoured at their current rate until their next renewal period unless otherwise communicated.

5. Billing, Payments, and Renewals

All payments are processed securely via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis (monthly or annually, depending on your selected billing cycle).

Monthly plans renew automatically each month on the anniversary of your subscription start date.
Annual plans renew automatically every 12 months from your subscription start date.
All prices are in Australian Dollars (AUD) and are inclusive of all taxes. No additional tax is added at checkout.
If your payment method is in a different currency, your bank or card provider will convert the charge at their prevailing exchange rate. Any currency conversion fees are determined by your financial institution.
You may manage your subscription, update payment methods, and view invoices through the Stripe Customer Portal.
Failed payments may result in service suspension. We will attempt to notify you before suspending access.
Statement descriptor: Charges will appear on your bank or credit card statement as “MY AI WORKER (NTS)”. This is the billing name for our parent company, Now Technology Systems, which processes payments for WP SEO Agent. If you do not recognise a charge, please contact info@wpseoagent.com.au before initiating a dispute with your bank.

Prices are the same for all customers regardless of location. You are responsible for any currency conversion fees charged by your financial institution.

6. Free Plan

The Free Plan provides limited access to the Service, including:

Up to 5 keyword projects
Up to 2 content posts per month (Custom Topic type only, 1 version per generation)
Weekly AI recommendations (view only)
Google Search Console integration
No access to the AI Chat feature
No access to the Social Writer feature
No on-demand analysis credits

The Free Plan is subject to the same Terms as paid plans unless otherwise specified. We reserve the right to modify Free Plan features or availability at any time without prior notice. A soft cap of 500 Free Plan accounts may be applied at our discretion.

7. 30-Day Smart Guarantee and Refund Policy

We offer a 30-day money-back guarantee on paid plans, subject to the following conditions. To qualify for a refund, you must demonstrate that you have:

Installed the Plugin on your website within 7 days of purchase.
Completed the onboarding process (synced pages, created at least one project).
Implemented at least 3 Tier 1 (highest priority) recommendations provided by the Service.
Not seen any measurable ranking improvement within the 30-day period.

If all conditions are met and no improvement is observed, you may request a full refund by contacting us at info@wpseoagent.com.au within 30 days of your initial purchase.

Refunds outside of the 30-day Smart Guarantee are granted at our sole discretion.

8. Cancellation and Downgrade

You may cancel your paid subscription at any time. There are no lock-in contracts or cancellation fees.

Upon cancellation, your account will be downgraded to the Free Plan at the end of your current billing period.
You will retain access to paid features until the end of the period you have already paid for.
Monthly plans: No partial refunds are issued for unused time within a billing period (except under the 30-Day Smart Guarantee).
Annual plans: If you cancel within the first 90 days, you are eligible for a pro-rata refund for unused months remaining. After 90 days, no refund is available. See our Refund Policy for full details.

You may also voluntarily downgrade your plan at any time. Downgrades take effect at the start of your next billing cycle.

9. Data Retention and Deletion

We take your data seriously. Our data retention practices are as follows:

Active accounts: Your data (site audits, recommendations, generated content, analytics) is retained for as long as your account is active.
Cancelled accounts: After cancellation or downgrade to Free, your historical data is retained for 12 months. After 12 months of inactivity, your data will be permanently deleted.
Immediate deletion: You may request immediate deletion of all your data at any time by contacting info@wpseoagent.com.au. We will process deletion requests within 30 days.

Once data is deleted, it cannot be recovered. Please export any data you wish to retain before requesting deletion.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service to generate spam, misleading content, or content that violates any applicable law.
Attempt to reverse engineer, decompile, or disassemble the Plugin or API.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Use automated tools (bots, scrapers) to access the Service beyond the Plugin’s intended functionality.
Share your account credentials or allow unauthorised access to your account.
Use the Service to infringe upon the intellectual property rights of others.
Exceed the usage limits of your plan through any circumvention method.
Use the Service for any website that promotes illegal activity, hate speech, or harmful content.

Violation of these terms may result in immediate suspension or termination of your account without refund.

11. Intellectual Property

Our Intellectual Property: The WP SEO Agent Plugin, API, algorithms, dashboard, documentation, and all associated branding are owned by Now Technology Systems. The Plugin is licensed to you, not sold. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Plugin and Service for the duration of your subscription.

Your Content: You retain all ownership rights to your website content. Any AI-generated content (blog posts, social media posts, meta descriptions, schema markup, or other text) produced by the Service for your use becomes your property upon generation. You are free to use, modify, publish, or discard AI Content as you see fit.

Feedback: If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without obligation to you.

12. AI-Generated Content Disclaimer

WP SEO Agent uses artificial intelligence to generate SEO recommendations, blog posts, social media content, and other suggestions. You acknowledge and agree that:

No guaranteed results: SEO is influenced by many factors outside our control (search engine algorithm changes, competition, domain authority, content quality, technical infrastructure). We do not guarantee any specific ranking, traffic, or revenue outcomes. The 30-Day Smart Guarantee (Section 7) provides a refund remedy if certain conditions are met; it is not a performance guarantee.
Recommendations are suggestions only: All recommendations provided by the Service are suggestions. The Service does not automatically apply changes to your website. You retain full control over what you implement.
Content requires review: AI-generated content (blog posts, social media posts) is provided for you to copy, review, edit, and publish at your discretion. The Service does not auto-publish content to your website.
Accuracy not guaranteed: While we strive for accuracy, AI-generated content may contain errors, outdated information, or suggestions that are not optimal for your specific situation. You are responsible for reviewing all content before use.
Your responsibility: You are solely responsible for any content you publish on your website, regardless of whether it was generated by our Service.

13. Third-Party Services

The Service relies on the following third-party providers to deliver its features:

AI Processing: We use OpenAI and Anthropic APIs to generate recommendations, content, and analysis. Your page titles, URLs, keyword data, and content excerpts may be transmitted to these providers for processing. No passwords, payment details, or personally identifiable information is shared with AI providers.
Google Search Console: If you connect your Google Search Console account via OAuth, the Service accesses your keyword ranking data through Google’s API. This data is used solely to provide ranking reports and recommendations within the Service. You may disconnect Google Search Console at any time.
Search Engine Data: We use third-party SERP analysis services to check keyword rankings and analyse competitor pages. Only keyword queries and public URLs are transmitted to these services.
Payment Processing: All payment processing is handled by Stripe. We do not store your credit card details on our servers. Stripe’s handling of your payment data is governed by Stripe’s Privacy Policy.

We select our third-party providers carefully and require that they handle data in accordance with their respective privacy policies and applicable data protection laws. However, we are not responsible for the practices of third-party providers beyond our reasonable control.

14. Service Availability and Uptime

We aim to provide reliable, continuous access to the Service. However, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice where possible).
Unscheduled maintenance or emergency repairs.
Factors beyond our reasonable control (internet outages, hosting provider issues, force majeure events).

The Plugin requires a connection to our external API (api.wpseoagent.com.au) to function. If the API is unavailable, certain features will not operate until connectivity is restored.

We are not liable for any loss or damage resulting from Service unavailability.

15. Limitation of Liability

To the maximum extent permitted by law:

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Now Technology Systems, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
We are not liable for any loss of rankings, traffic, revenue, or business opportunities, whether or not we were advised of the possibility of such losses.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Now Technology Systems (ABN 95 168 282 914), its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

Your use of the Service.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Content you publish on your website, including AI-generated content you choose to use.
Any third-party claims related to your website or business activities.

17. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

By using the Service, you consent to the collection and use of information as described in our Privacy Policy. The Plugin transmits site data (page titles, URLs, meta information, content excerpts, and keyword data) to our API for processing. If you connect Google Search Console, your ranking data from Google is also transmitted to our API. No sensitive personal data (passwords, payment details, user databases) is transmitted by the Plugin.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

We will update the “Last updated” date at the top of this page.
We will notify you via email or through the Service dashboard at least 14 days before material changes take effect.
Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.

If you do not agree with modified Terms, you may cancel your subscription before the changes take effect.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
